Terms & Conditions for Sellers and Purchasers

These Terms & Conditions (“Terms”) govern the use of www.editorialstocks.com (“Website”), operated by Editorial Stocks (“we”, “our”, “us”).

 

By accessing, uploading, purchasing, or licensing content on this Website, Sellers (Contributors) and Purchasers (Buyers) agree to these Terms.

 

1. Definitions

 

 

  • “Seller” / “Contributor” – Any individual or entity uploading images for licensing.
  • “Purchaser” / “Buyer” – Any individual or entity purchasing or licensing images.
  • “Content” – Photographs or images uploaded to the platform.
  • “Editorial Use” – Use for news, journalism, documentary, educational, or informational purposes only.

 

 

2. General Platform Rules (Applies to All Users)

  • Users must be 18 years or older
  • Accounts must contain accurate information
  • Misuse of content or the platform may result in account termination
  • Editorial Stocks reserves the right to remove content or suspend accounts at its discretion

 

PART A – TERMS FOR SELLERS (CONTRIBUTORS)

3. Seller Eligibility

By uploading content, Sellers confirm that:

 

  • They are the original creator or legal copyright owner, OR
  • They have full legal authority to license the content
  • Content does not infringe any third-party rights

 

4. Content Submission Rules

 

 

Sellers agree that submitted images:

 

  • Are authentic and unaltered in a misleading manner
  • Comply with journalistic and ethical standards
  • Do not violate copyright, trademark, privacy, or publicity rights
  • Are suitable for editorial use only

 

 

Editorial Stocks may review, reject, or remove any content without notice.

5. Licensing Rights Granted by Sellers

By uploading content, Sellers grant Editorial Stocks:

 

  • A non-exclusive, worldwide, royalty-bearing license
  • The right to host, distribute, market, sublicense, and sell the content
  • The right to display content for promotional purposes

 

 

Copyright ownership remains with the Seller.

 

6. Seller Representations & Warranties

Sellers represent and warrant that:

 

  • Content is original
  • Necessary permissions (if applicable) have been obtained
  • Content does not contain false, defamatory, or illegal material

 

 

Sellers agree to indemnify Editorial Stocks against claims arising from content violations.

7. Payments to Sellers

  • Royalties are paid based on the platform’s commission structure
  • Payments are made only after minimum payout thresholds (if applicable)
  • Sellers are responsible for tax obligations
  • Editorial Stocks may withhold payments in case of disputes or violations

 

8. Seller Account Termination
Editorial Stocks may suspend or terminate Seller accounts for:

 

  • Copyright infringement
  • Fraudulent activity
  • Repeated policy violations
  • DMCA takedowns

 

 

Upon termination, existing licenses remain valid.

PART B – TERMS FOR PURCHASERS (BUYERS)

9. Image Licensing – Editorial Use Only

All images are licensed STRICTLY FOR EDITORIAL USE ONLY.

 

Permitted uses include:

 

  • News articles
  • Journalism publications
  • Documentary films
  • Educational content
  • Informational blogs

10. Prohibited Uses

 

 

Buyers may NOT use images for:

 

  • Advertising or promotions
  • Branding or logo usage
  • Product packaging
  • Political campaigns
  • Endorsements or sponsorships
  • Merchandise or resale
  • Misleading or defamatory contexts

 

 

Any prohibited use results in immediate license termination.

11. No Ownership Transfer

 

 

Buyers receive a limited, non-exclusive, non-transferable license
  • Copyright remains with the Seller or Editorial Stocks
  • Sub-licensing or redistribution is strictly prohibited

12. Attribution Requirement

 

 

Where required, Buyers must credit:

 

Photographer Name / Editorial Stocks

 

Failure to credit may result in license revocation.

13. Payments & Refunds (Buyers)

  • All payments must be completed before download
  • Digital downloads are non-refundable
  • Refunds may be considered only for technical errors or duplicate charges

 

14. Buyer Responsibility

Buyers are solely responsible for:

 

  • Proper image usage
  • Legal compliance in their jurisdiction
  • Claims arising from misuse

Editorial Stocks is not liable for misuse by Buyers.

PART C – LEGAL & COPYRIGHT PROVISIONS

15. DMCA & Copyright Compliance (U.S. Law)

Editorial Stocks complies with the DMCA (17 U.S.C. §512).

Copyright complaints must be sent to:

Repeat infringers will be permanently banned.

16. Limitation of Liability
To the maximum extent permitted by law:

  • Editorial Stocks is not liable for indirect or consequential damages
  • Liability shall not exceed the amount paid for the license

 

17. Indemnification

Users agree to indemnify Editorial Stocks against claims arising from:

  • Copyright infringement
  • Improper usage
  • Breach of these Terms

 

18. Governing Law & Jurisdiction

These Terms are governed by the laws of the United States.

Any disputes shall be resolved in U.S. federal or state courts.

 

19. Modifications

Editorial Stocks may update these Terms at any time.

Continued use indicates acceptance of revised Terms.
